MEMBERSHIP TERMS AND CONDITIONS

About These Terms

These Terms and Conditions (“Agreement”) govern the membership between SportPlex (operated by the legal entity identified in Section 1.2 below) and any person who completes and signs a Member Enrollment and Signature Form (“Part A”) and is accepted by SportPlex as a Member.

The Member’s personal details, membership tier, commencement date, subscription period, and payment details are as recorded in Part A. The Agreement takes effect on the Start Date stated in Part A.

In the event of any inconsistency between Part A and these Terms and Conditions, these Terms and Conditions shall prevail unless Part A expressly provides otherwise.

Where the Member is under the age of 18, the parent or legal guardian who has signed Part A accepts all obligations under this Agreement on the Member’s behalf and is jointly and severally liable for compliance with these Terms and Conditions.

Definitions and Interpretation

  • “Trial Period” means the period of no less than forty-eight (48) hours from the membership Start Date during which the Member may cancel their membership and obtain a full refund of all amounts paid, exercisable once only, provided that SportPlex has not already granted the Member a free one-day trial visit prior to enrollment. See Section 8.
  • “Subscription Period” means the period during which this Agreement remains valid for a Member under the same terms and conditions. The Suspension Period is not counted as part of the Subscription Period.
  • “Membership Suspension” means a temporary suspension of the Membership Contract period at the Member’s request, or pursuant to a direction from the Ministry of Sport, as governed by Section 7. The Suspension Period does not count toward the Minimum Term or the Subscription Period.
  • “Sports Center” or “Gymnasium” means the SportPlex facility licensed by the Ministry of Sport under (Sports Center and Gymnasium License) LICENCE-16563 (Female Facility) and LICENCE-16555 (Male Facility), being a commercial entity licensed under the Licensing Regulation for Private Sports Halls and Centers, as defined in the Consumer Protection Document for Sports Centers & Gymnasiums issued by the Ministry of Sport.
  • “Facility” means the SportPlex sports center and gymnasium premises operated under the licenses identified in the definition of “Sports Center” above, including all indoor and outdoor areas, courts, pools, wet areas, locker rooms, car parks, common areas, and any other areas forming part of the licensed premises.
  • “Member” means the individual named in this Agreement who has been accepted by SportPlex for membership and whose membership is current and subsisting, and includes, where the context requires, a parent or legal guardian who has signed this Agreement on behalf of a minor.
  • “Start Date” means the date on which the Member’s Subscription Period commences, as recorded in the membership registration system.
  • “Minimum Term” means the initial fixed period of the Subscription Period during which the Member has committed to maintain their membership, as specified in the Fee Schedule.
  • “Fee Schedule” means the schedule of membership fees, categories, inclusions, operating hours, and applicable charges published by SportPlex and provided to the Member at the time of enrollment, as amended from time to time in accordance with this Agreement.
  • “Joining Fee” means the one-time, non-recurring fee payable by the Member upon initial enrollment, as set out in the Fee Schedule.
  • “Booking” means a reservation made by or on behalf of a Member for the use of a court, class, personal training session, or other bookable service at the Facility, whether made through the SportPlex mobile application, website, or at the Facility reception.
  • “Guest” means any individual who is not a Member and who is granted temporary access to the Facility by or on behalf of a Member in accordance with the guest policy set out in Section 4.
  • “Personal Training” or “PT” means one-to-one or small-group training sessions provided by a SportPlex-approved coach or trainer at the Facility, booked and managed through the SportPlex mobile application.
  • “Force Majeure Event” means any event beyond the reasonable control of SportPlex, including but not limited to government mandates, public health emergencies, epidemics, pandemics, power outages, natural disasters, acts of war or terrorism, civil unrest, or necessary emergency repairs, that prevents or materially impairs the operation of the Facility.
  • “House Rules” means the rules of conduct, facility-specific regulations, and operational requirements set out in Schedule 2, as amended by SportPlex from time to time upon not less than fourteen (14) days’ notice to Members. All references in this Agreement to “Code of Conduct” shall be read as references to “House Rules”.
  • “Daily Rate” means the total prepaid membership fees for the applicable Subscription Period divided by the total number of days in that Subscription Period, used for the purpose of calculating pro-rata refunds under this Agreement.
  • “Material Change” means any amendment to this Agreement that materially and adversely affects the Member’s rights or obligations, including but not limited to: (a) an increase in membership fees; (b) a permanent removal of a service category included in the Member’s membership tier; (c) a reduction in operating hours exceeding five (5) hours per week; or (d) a permanent closure of a material area of the Facility.
  • “Essential Obligations” means the core obligations of SportPlex under this Agreement, including the obligation to provide the Member with access to the Facility during operating hours, to maintain the Facility in a safe and operational condition, and to provide the services and facilities included in the Member’s membership tier as set out in the Fee Schedule.
  • “Qualifying Ground” means any of the grounds for early termination without early termination fee listed in Section 8, including medical incapacity, permanent relocation, redundancy, and permanent incapacity following injury at the Facility.
  • “Regulatory Authority” means the Ministry of Sport, the Ministry of Commerce, and the Saudi Data and Artificial Intelligence Authority (SDAIA), individually or collectively as the context requires.
  • “Authorised Person” means a person named on the Member’s authorised collection list in the Parental Consent and Authorisation Form (Schedule 4) as being authorised to collect a minor Member from the Facility.
  • “DPO” means the Data Protection Officer appointed by SportPlex in accordance with the Personal Data Protection Law.

Documents Incorporated by Reference

This Agreement incorporates by reference, and the Member agrees to be bound by, the following documents, each of which forms part of this Agreement: (i) the Fee Schedule (Schedule 6); (ii) the SportPlex Privacy Policy (Schedule 1); (iii) the House Rules (Schedule 2); (iv) the Health Declaration Form (Schedule 3); (v) the Parental Consent and Authorisation Form (Schedule 4 — where applicable); (vi) the Membership Transfer Request Form (Schedule 5 — where applicable); and (vii) the Membership Suspension Request Form (Schedule 7 — where applicable). In the event of conflict between the main body of this Agreement and any Schedule, the main body shall prevail unless the Schedule is expressly stated to prevail. SportPlex may issue additional guidelines or notices from time to time in accordance with the variation of terms mechanism in Section 16.9; such guidelines shall be binding on Members from the date specified in the notice.

1. Membership Term, Fees, Payment and Mandatory Contract Content

  • Term: Membership is valid for one (1) year from the Start Date, unless otherwise agreed. Membership may automatically renew on an annual basis unless terminated in accordance with this Agreement. Upon expiry of the Minimum Term, the membership shall convert to a rolling monthly arrangement unless the Member and SportPlex agree in writing to a further fixed term. SportPlex shall notify the Member of the upcoming automatic renewal no less than thirty (30) days before the renewal date by at least two (2) of the following channels: email to the Member’s registered email address and push notification through the SportPlex mobile application. The renewal notice shall specify: (i) the renewal date; (ii) the renewal term (monthly rolling or agreed fixed term); (iii) the renewal price, including any fee adjustment; (iv) the deadline and method by which the Member must notify SportPlex if the Member does not wish to renew; and (v) a statement that the membership will renew automatically if the Member does not act before the stated deadline. If the Member does not wish to renew, the Member must submit a termination notice in accordance with Section 8 before the renewal date. Where SportPlex fails to provide the required thirty (30) day renewal notice, the membership shall continue on a rolling monthly basis at the then-current rate until proper notice is given, and the Member may cancel at any time during such rolling period by giving thirty (30) days’ written notice without incurring any early termination fee.
  • Operator and Fees: SportPlex is operated by Sports Fields Company, a company registered in the Kingdom of Saudi Arabia under Commercial Registration No. 4030358183, with its registered address at Building No. 7150, Ibn Al Qazaz Street, Abhur Al Janubiyah District, Jeddah 23731, Kingdom of Saudi Arabia. VAT Registration (TRN) No. [insert TRN]. SportPlex operates the Facility under Sports Center License No. LICENCE-16563 (Female Facility) and Gymnasium License No. LICENCE-16555 (Male Facility), both issued by the Ministry of Sport. Membership fees depend on the category chosen and are inclusive of VAT; full fee details are set out in the Fee Schedule.
  • Payment: Fees must be paid in full or through monthly installments via approved payment methods.
  • Payment Default. If any payment due under this Agreement is not received by the due date: (i) SportPlex may charge an administrative fee of SAR [amount] for each failed payment attempt; (ii) if payment remains outstanding for more than fourteen (14) days after the due date, SportPlex may suspend the Member’s access to the Facility until all outstanding amounts are settled in full; (iii) if payment remains outstanding for more than thirty (30) days after the due date, SportPlex may terminate this Agreement in accordance with Section 8, and all fees due for the remainder of the Minimum Term shall become immediately due and payable; and (iv) SportPlex may refer any outstanding debt to a licensed debt collection agency. The Member shall be liable for all reasonable costs of collection, including legal fees.
  • Refunds: Fees are non-refundable except as follows: (i) Trial Period cancellation (Section 8): full refund of all amounts paid, within [10] business days of approved cancellation; (ii) early termination on qualifying medical, relocation, or other grounds (Section 8): pro-rata refund of prepaid fees for the unused remaining Subscription Period, calculated from the date the qualifying ground is evidenced, within [10] business days of approval; (iii) permanent incapacity following injury at the Facility (Section 7): pro-rata refund of prepaid fees for the remaining Subscription Period, calculated using the Daily Rate methodology, with no deduction or early termination fee, within [10] business days of receipt of the qualifying medical report; (iv) Facility closure exceeding one (1) calendar month (non-Force Majeure): time-extension equivalent to closed days as primary remedy, or if closure exceeds one (1) calendar month, the Member may terminate and receive a refund of the amount due for the remaining prepaid period, within [10] business days of termination notice; (v) termination by SportPlex without cause: pro-rata refund of prepaid fees for the period after the termination date, within [10] business days of termination; (vi) Member death during the Subscription Period: refund of unused prepaid period to the Member’s estate, within [20] business days of receipt of death certificate. Where a refund is required under General Provision 9 or General Provision 10 of the Consumer Protection Document for Sports Centers & Gymnasiums, SportPlex shall not make any deduction from the refund amount for administrative costs, processing fees, or any other charge, unless the deduction is expressly permitted by applicable Saudi law.
  • Price Adjustments: SportPlex reserves the right to adjust membership fees with at least thirty (30) days’ prior written notice. If the Member does not accept the fee adjustment, the Member may terminate this Agreement by giving written notice to SportPlex within the thirty (30) day notice period. In such case, the Agreement shall terminate at the end of the notice period without any early termination fee, and SportPlex shall refund any prepaid fees attributable to the period after the termination date within ten (10) business days.
  • Mandatory Contract Content. In compliance with the Membership Contract requirements of the Consumer Protection Document for Sports Centers & Gymnasiums, this Agreement expressly includes, at a minimum: (i) the Member’s name, identity number, contact information, and emergency contact, together with a written consent requirement for any additional personal information requested by SportPlex; (ii) SportPlex’s operating hours and days, as set out in the Fee Schedule; (iii) the Start Date and duration of the membership, and the number and period of permitted Membership Suspensions, as set out in Section 7; (iv) the categories and areas of the Facility that the Member may access under their membership tier, as set out in the facility access zones matrix in Schedule 6 (Fee Schedule); (v) the rights and obligations of both SportPlex and the Member, as set out throughout this Agreement; (vi) all membership fees and any other amounts or charges that may be imposed on the Member, as set out in the Fee Schedule and Section 1; (vii) the grounds for termination by SportPlex or the Member and the resulting procedures, as set out in Section 8; and (viii) the Member’s acknowledgment that they have understood this Agreement and agree to all of its contents, as set out in the Member Enrollment and Signature Page.
  • Operating Hours. The current operating hours and days of SportPlex are set out in the Fee Schedule and are displayed at the Facility entrance, on the SportPlex mobile application, and on the SportPlex website. Changes to operating hours will be communicated to Members in advance. Operating hours form part of this Agreement.
  • Membership Suspension Entitlement. The number of Membership Suspensions permitted and the maximum Suspension Period for each membership tier are set out in Section 7 and form part of this Agreement.
  • Pre-Opening Memberships. Where a membership is sold before the Facility opens to Members (“Pre-Opening Membership”): (a) the Start Date, Minimum Term, and Trial Period shall commence on the date the Facility first opens to Members, or on the date of the Member’s first visit (if earlier); (b) no membership fees (other than any Joining Fee or account-servicing deposit specified at the time of pre-opening enrollment) shall be collected before the Start Date, unless otherwise agreed in writing; (c) the Member may cancel the Pre-Opening Membership at any time before the Start Date and receive a full refund of all amounts paid, less any reasonable account-servicing costs disclosed at the time of enrollment; and (d) any founder, pre-sale, or promotional pricing offered in connection with a Pre-Opening Membership shall be honoured from the Start Date on the terms specified at the time of the pre-opening offer.
  • Membership Applications. All membership applications are subject to approval by SportPlex. SportPlex may decline an application at its discretion, subject to the anti-discrimination clause in Section 3. Where an application is declined, SportPlex shall refund all fees collected from the applicant within ten (10) business days of the decision to decline.

2. Membership Categories

  • Family Membership – One adult + One child (first-degree family).
  • Adult Membership – One (1) individual adult (male or female), Age 18.
  • Facility Access Zones. Each membership tier entitles the Member to access the zones of the Facility specified for that tier in the Fee Schedule. The Fee Schedule shall include a facility access zones matrix identifying, for each membership tier: (a) the indoor and outdoor areas, courts, pools, and other zones the Member may access; (b) any age-restricted or gender-restricted zones; and (c) any zones requiring a separate booking or additional fee. Where a zone is not listed for a membership tier, the Member has no right of access to that zone unless a separate booking or Guest pass applies.

Family Membership Rules

  • Minimum requirement: Two family members (Two Adults (18+), Or One Parent (18+) and one child)
  • All family members must register at the same time.
  • Memberships are profile-based and non-transferable.
  • Minors aged 16+ may access adult facilities with assessment and approval.
  • Sharing membership or QR code is strictly prohibited.
  • Guest passes are limited by date and time and deducted from the member’s allowance.
  • Child administration fees apply to individuals under 18 years of age. Children under the Family Membership must be accompanied by a parent or guardian.
  • Additional Individual Rate 10% for each additional adult.
  • Founder members qualify for a 15% discount on all annual membership renewals for life, provided the membership is renewed continuously each year.
  • If the lead-payer Member under a Family Membership terminates their membership or defaults on payment, linked family members may either: (a) assume individual responsibility for their own membership fees going forward, on terms specified by SportPlex at the time of assumption; or (b) have their linked membership suspended or terminated. Linked family members remain liable for any fees that have already fallen due prior to the lead-payer’s termination or default. SportPlex shall notify linked family members within seven (7) days of the lead-payer’s termination or default and provide a period of not less than fourteen (14) days for the linked members to elect option (a) or (b).

Individual Membership

  • Membership is valid for one person only.
  • Membership benefits cannot be transferred.
  • Sharing membership or QR code is strictly prohibited.
  • Guest passes are limited by date and time and deducted from the member’s allowance. Complimentary founder perks (other than the lifetime renewal discount) are valid for the first year only.

Structured Sports Programmes

REGULATORY NOTICE: SportPlex currently holds Sports Center and Gymnasium Licenses (LICENCE-16563 and LICENCE-16555) only. These licenses do not constitute Academy Licenses under the Licensing Regulation for Sports Academies. Until SportPlex obtains a separate Academy License from the Ministry of Sport, all coach-led structured programs, camps, and multi-sport programs offered at SportPlex are provided as sports center activities under the Sports Center licenses. The Consumer Protection Document for Sports Academies does not apply to these activities. This Agreement governs all such programs under the Sports Center regulatory framework. SportPlex will notify Members if and when a separate Academy License is obtained, and will update the applicable terms accordingly.

  • Structured program enrollment is separate from membership.
  • Trial sessions are paid.
  • Trial sessions can be used once per structured program only. Member rates are applied.
  • Program Trial: as set out in the Fee Schedule (Schedule 6).
  • Program rates are available for children under family membership.
  • 1-month trial price only for children under family memberships.
  • Program number of sessions: 3 sessions per week, 12 sessions per month.
  • Sport uniforms are provided only for children enrolled in the structured program for 3 months or more.

The Multi-Sport offering provides a monthly program for children to explore various sports through a fixed timetable. It is not classified as a Structured Sports Program for the purposes of this Agreement and is provided under the Sports Center license framework.

3. Facility Rules and House Rules

  • Members must respect Saudi laws, customs, and SportPlex policies.
  • House Rules. The detailed operational rules governing day-to-day conduct at the Facility (including dress code specifics, gym etiquette, locker procedures, area-specific rules, and photography restrictions) are set out in the House Rules schedule, which is incorporated into this Agreement by reference. SportPlex may amend the House Rules from time to time by giving Members not less than fourteen (14) days’ prior notice via the SportPlex mobile application or by display at the Facility entrance. An amendment to the House Rules does not constitute a Material Change for the purposes of this Agreement unless it materially restricts the Member’s access to a service category included in their membership tier. The legal consequences of a breach of the House Rules (warning, suspension, or termination) are governed by this Section 3 and Section 8.
  • Harassment, intimidation, or misconduct towards staff or other members is strictly prohibited.
  • Proper modest sports attire and appropriate footwear are required at all times.

Clothing Restrictions:

  • Open toed shoes, sandals, slippers, or boots are not permitted in workout areas.
  • Clothing with offensive, inappropriate, or indecent graphics/text is strictly prohibited.
  • Members must wear modest, sports appropriate attire that conforms to public decency standards.
  • Personal Hygiene: Members are expected to maintain a high level of personal hygiene. Excessive body odor may result in a request to leave the Facility.
  • Illness: Members with visible symptoms of infectious illness (e.g., severe cough, fever) are requested not to enter the Facility.

Prohibited Substances and Practices:

  • Smoking, vaping, alcohol, recreational drugs, steroids, and unauthorized supplements are strictly prohibited. SportPlex shall not sell, promote, or permit the use or consumption within the Facility or any area of the Facility (including locker rooms, car parks, and common areas) of any substance that is either: (a) a stimulant substance banned in sports fields under applicable Saudi anti-doping or sports regulations, including energy drinks identified by the competent authority as prohibited in sports environments; or (b) not licensed by the Saudi Food and Drug Authority (SFDA). For the avoidance of doubt, a substance is prohibited under this clause if it satisfies either criterion (a) or criterion (b), or both.
  • Anti-Discrimination. SportPlex is committed to providing an inclusive environment and shall not discriminate against any Member or prospective Member on the grounds of gender, nationality, disability, religion, or any other characteristic protected under applicable Saudi law. Members are likewise expected to treat all other Members, staff, and visitors with respect and without discrimination.
  • The possession or use of syringes, injections, or other drug-related equipment is not allowed on SportPlex premises unless for documented medical purposes.
  • Members requiring medical injections or treatments must inform SportPlex management in advance and provide verification from a licensed medical professional.
  • Rehabilitation Prohibition. SportPlex is obliged to refrain from training or rehabilitating injured persons inside the Facility without first obtaining a permit from the competent authority responsible for licensing such services under the applicable Ministry of Sport requirements. Where SportPlex holds the required permit, rehabilitation services may be offered as an additional service subject to separate terms. Members requiring rehabilitation following injury must obtain appropriate medical clearance from a licensed physician before returning to any physical activity at the Facility.

Prohibited Training Practices:

  • No outside coaches or training services are permitted. Personal training is limited to SportPlex approved coaches/trainers. Members are strictly prohibited from utilizing the services of any external, non-SportPlex certified or affiliated personal trainer, coach, instructor, or professional while on SportPlex premises, for any activity including but not limited to gym workouts, court bookings.

Sales and Promotion Restrictions:

  • Members are strictly prohibited from selling, marketing, or promoting any products, services, or activities inside SportPlex without prior written approval from management.
  • Unauthorized sales or solicitation may result in immediate termination of membership without a refund.
  • Members are strictly prohibited from giving any gifts, tips, or payments to SportPlex staff. Violation may result in immediate suspension or termination of membership without a refund.

General Gym Floor Rules

  • Towel Policy: Members must use a towel while utilizing all equipment (including mats and benches) and are required to wipe down the equipment immediately after use. Failure to use a towel may result in a request to leave the workout area.
  • Equipment Care & Re-racking: All weights, plates, and dumbbells must be re-racked immediately after use and returned to their designated storage areas. Members must not drop weight.
  • Personal Belongings: Water bottles (non-glass only) and towels are the only items permitted on the gym floor. Bags, jackets, and other personal items must be stored in the lockers provided.

Class and Facility Booking Policy

  • Court booking is available for active members only. Members can book courts for members and non-members.
  • Court Booking Cancellation. Members must cancel or reschedule a court Booking at least twenty-four (24) hours before the reserved time. If a court Booking is canceled with less than twenty-four (24) hours’ notice, or if the Member fails to attend the Booking (no-show), the court booking fee shall be forfeited and is non-refundable.
  • All players must complete registration and accept the waiver prior to the session.
  • Court rental fees can be paid in full by the booking member or split between all players. Non-members will receive a QR code/barcode after completing registration.
  • Access is limited strictly to the reserved court during the booked time.
  • Mixed groups may share a court only if they are relatives or family members.
  • Free group fitness classes available all the time – gym schedule – instructor led workouts for all levels. Class Bookings must be made through the SportPlex mobile application. Members who arrive more than ten (10) minutes after the scheduled class start time forfeit their place and the Booking is canceled. If a Member fails to attend a booked class without canceling at least two (2) hours before the scheduled start time (no-show), the no-show will be recorded against the Member’s profile. After three (3) no-shows in any calendar month, SportPlex may temporarily restrict the Member’s ability to book classes for a period of up to seven (7) days. Where a class is fully booked, Members may join a waitlist through the SportPlex mobile application and will be notified automatically if a place becomes available.
  • Anti-Circumvention. Members are prohibited from: (a) using or creating multiple identities, accounts, or profiles to circumvent Guest, Booking, or usage caps imposed under this Agreement; and (b) making Bookings by means of any automated tool, script, or bot. Any Booking made in breach of this provision is void without refund, and SportPlex may suspend or terminate the Member’s membership in accordance with Section 8.

Personal Training / Gym (PT)

  • Personal Training sessions are available exclusively for active members.
  • Must be booked through the SportPlex mobile application.
  • All sessions will be tracked and managed via app
  • Cancellation or rescheduling must be made at least 24 hours in advance.
  • PT Package Non-Refundability. Personal Training packages are non-refundable once the first session has been attended, except where a refund is required under the qualifying grounds set out in Section 8 (Termination). Unused sessions within a PT package expire at the end of the validity period stated at the time of purchase and are not transferable.
  • Trainer Unavailability. If a Member’s assigned trainer becomes unavailable (including by reason of resignation, reassignment, or leave), the Member may complete any remaining prepaid sessions with another SportPlex-approved trainer at no additional charge. If no suitable replacement trainer is available, unused prepaid sessions shall be refundable pro-rata.

Locker and Wet Area Usage

  • Lockers: Overnight storage is strictly prohibited. SportPlex reserves the right to cut locks and empty any lockers left overnight. Items of apparent value exceeding SAR 50 will be held at the Facility reception for a period of seven (7) days and may be collected by the Member upon presentation of valid identification. Items of lesser apparent value may be disposed of after forty-eight (48) hours. After the applicable holding period, SportPlex may dispose of uncollected items without further notice or liability. SportPlex is not responsible for any loss of or damage to items stored in lockers.
  • Wet Area Attire: Proper swimwear is required in the jacuzzi, and other wet areas. Cotton t-shirts, shorts, and street clothes are strictly prohibited from pool use. Members must shower before entering any pool, steam room, or sauna.
  • Photography: Photography and video recording are strictly prohibited in all Wet Areas/Locker Rooms

Facility Access and Usage

  • Members must check in with their membership card or band. Replacement of lost/damaged cards/bands is subject to a fee.
  • Random Verification. SportPlex may conduct random identity and membership verification checks at the Facility entrance and within the Facility at any time. Any person who is unable to verify a valid, current membership upon request shall be refused further entry or removed from the Facility. Members shall cooperate with all reasonable verification requests.
  • Lockers are provided for daily use only; overnight storage is not permitted. The procedures for abandoned items and SportPlex’s limitation of liability for items stored in lockers are set out in the locker provisions under “Locker and Wet Area Usage” above.
  • Equipment must be used properly, returned to place, and not dropped. Members are responsible for damage caused by misuse.
  • Bags are not permitted inside workout areas; lockers must be used.
  • Children are not allowed to access adult-only zones (e.g., gym area, male and female locker rooms, workspace, and spa area). The following age-specific rules apply: (a) children under the age of six (6) must be accompanied by a parent or legal guardian at all times and are not permitted to use any equipment or participate in any class without direct parental supervision; (b) children aged six (6) to twelve (12) may participate in designated children’s classes and programs but must be accompanied by a parent or legal guardian while in common areas of the Facility; (c) children aged thirteen (13) to fifteen (15) may participate in designated supervised classes and programs without a parent present in the activity area, provided that a parent or legal guardian remains on the Facility premises and is contactable at all times; (d) minors aged sixteen (16) to seventeen (17) may access adult facilities (excluding the gym floor, spa, and adult locker rooms) subject to a fitness assessment and prior written approval by SportPlex management; and (e) swimming and aquatic areas: children under the age of twelve (12) must be accompanied in the water by a parent or legal guardian at all times; children who cannot swim must wear appropriate flotation devices approved by SportPlex; and any child with a medical condition that may be aggravated by water exposure must disclose that condition before entering the pool area.
  • Severe Weather and Outdoor Areas. Members must vacate outdoor courts, fields, and other outdoor areas of the Facility immediately upon instruction by SportPlex staff during lightning, sandstorm, extreme heat, or other hazardous weather conditions. SportPlex shall not be liable for any loss or inconvenience arising from such evacuation. Where a Booking for an outdoor area is curtailed by a weather-related evacuation, the Member’s remedy shall be a time-extension or rescheduling of the affected Booking at no additional charge, consistent with the Force Majeure provisions in Section 13; no monetary refund shall be payable for weather-related curtailments.
  • Party / Event Room: Members may book the Room during their active membership period only. All bookings must be made in advance through the facility. Activities must comply with SportPlex rules, safety regulations, and cultural norms. Members are responsible for their guests and must ensure proper behavior. Food, decorations, and equipment must adhere to facility policies.
  • Special Facility Bookings. Bookings for the Party / Event Room and the Recovery Room must be made at least forty-eight (48) hours in advance through the SportPlex mobile application or at the Facility reception. Cancellation of a special facility Booking must be made at least twenty-four (24) hours before the reserved time; late cancellations and no-shows will result in forfeiture of the booking fee. Specific conditions for each bookable facility are set out in the House Rules.
  • Members Lounge: Access is for members only. Lounge is for relaxation, socializing, and refreshments. Members must respect noise levels and other members. Personal belongings should be kept safe and organized. No outside food or beverages unless permitted.
  • Recovery Room: Access is for members only. Nonmembers and guests cannot use it. Please respect other members inside the area; phone usage and photography are not allowed. Members must follow all safety and hygiene rules. Children under 18 are not permitted.

4. Guest Access

  • Eligibility and Invitation. Only active Members may invite Guests, and may do so through their member profile on the SportPlex mobile application.
  • Registration and Identification. All Guests must register through the SportPlex mobile application before arrival and must present valid government-issued photo identification (Civil ID, Iqama, or passport) at reception before entry.
  • Frequency and Fee. Each Member is permitted a maximum of four (4) Guest visits per calendar month. Within that monthly cap, only one (1) adult Guest is permitted per visit, and Guest passes are deducted from the Member’s guest pass balance. The applicable Guest fee is set out in Schedule 6 (Fee Schedule).
  • Access Timing. Guest access is limited by date and time (off-peak periods only), as specified in the Fee Schedule.
  • Restricted Areas. Guests may access the gym floor only and are not permitted to access the Recovery Room, steam room, sauna, locker rooms, or any other restricted area of the Facility.
  • The booking Member must remain present in the same zone of the Facility as their Guest for the duration of the visit, and Guests may not be left unattended. Where the relevant zone requires advance booking, the Member must make a Booking before the Guest’s visit in accordance with the booking policy in Section 3.
  • Capacity Priority. Where capacity constraints apply, Members have priority of access over Guests, and SportPlex reserves the right to refuse Guest admission for capacity or safety reasons without liability.
  • Guests must sign a waiver before entry and comply with all facility rules and the House Rules.
  • Member Responsibility. The Member is fully responsible for their Guest’s conduct and any damage caused. Violations by a Guest may result in restricted access for both the Guest and the sponsoring Member.
  • No Independent Access. Guests have no access rights beyond the permitted visit and may not use the Facility independently.

5. Children and Minors

Children from Families (Under 18)

  • Parental/Guardian Consent: A parent or legal guardian must sign the membership contract, liability waiver, and health declaration form. The guardian is fully responsible for the child’s conduct and safety.
  • Supervision: Supervision requirements vary by age group as set out in Section 3 (Facility Access and Usage) and the House Rules (Schedule 2). The requirements of Section 3 prevail in the event of any inconsistency with this Section 5.
  • Designated Areas: Children are only permitted to use equipment and areas that are safe and age-appropriate, as determined by SportPlex staff.
  • Gym Restrictions: Minors under the age of 16 are strictly prohibited from using gym facilities, weightlifting areas, adult spas, or male/female locker rooms. Minors aged 16 or 17 may access specified adult facilities (excluding the gym floor, adult spa, and adult locker rooms) subject to the conditions set out in Section 3.

6. Special Needs Members

  • SportPlex is committed to providing reasonable accommodation and accessible access to persons with disabilities, consistent with the anti-discrimination clause in Section 3 and applicable Saudi disability-rights provisions. Persons with special needs may register for membership; medical documentation may be requested solely to ensure safe participation and to enable SportPlex to make appropriate accommodations, and shall not be used as a barrier to enrollment. Registration is subject to management review for the purpose of identifying any accommodations required.
  • Where a Member with a disability requires a caregiver or companion for assistance, the caregiver shall be admitted to the Facility free of charge on a designated companion pass. The caregiver may accompany the Member in all areas the Member is entitled to access and may assist the Member in using equipment and participating in activities. The caregiver is not entitled to use equipment or participate in classes independently for their own benefit unless they hold a separate membership. Registered assistance animals (including guide dogs) accompanying a Member or Guest with a disability are permitted on the premises, subject to hygiene and safety conditions specified in the House Rules. Members with disabilities who are unable to use biometric or QR-code access verification may present valid government-issued photo identification (Civil ID, Iqama, or passport) as an alternative method of entry verification.

7. Membership Suspension

  • Entitlement — tiered by Subscription Period duration. Members have the right to suspend their membership in accordance with the following tiered entitlements, determined by the duration of their subscription tier. These entitlements represent the regulatory minimum and SportPlex shall not impose conditions that reduce them: (i) 1-month subscription: 1 suspension, total suspension duration not exceeding 25% of the subscription term; (ii) 3-month subscription: 2 suspensions, total suspension duration not exceeding 25% of the subscription term; (iii) 6-month subscription: 3 suspensions, total suspension duration not exceeding 25% of the subscription term; (iv) 12-month subscription or longer: 4 suspensions, total suspension duration not exceeding 25% of the subscription term. All suspensions under this Section are provided free of charge. No single suspension may be taken for a period that would cause the cumulative total suspension duration to exceed the applicable 25% cap for the subscription tier.
  • Suspension requests must be submitted in writing through the SportPlex mobile application or in person at the Facility reception. A supporting medical report from a licensed hospital or clinic is required only where the suspension is requested on medical grounds. Suspension requests made on any other ground do not require documentary justification beyond the written request.
  • The Suspension Period is not counted as part of the Subscription Period or the Minimum Term. The membership term is automatically extended by the number of suspended days.
  • Ministry-directed suspension. Where the Ministry of Sport directs SportPlex to suspend any Member’s membership, SportPlex will comply with that direction immediately. A Ministry-directed suspension does not count against the Member’s entitlement under this Section.
  • No membership fees are payable during an approved Suspension Period. All monthly payments must be up to date at the time of a suspension request; provided, however, that this payment condition shall not be applied so as to deny or delay a Membership Suspension that is: (a) required by a direction of the Ministry of Sport; or (b) requested on medical grounds supported by a medical report from a licensed hospital or clinic. During a Suspension Period, the Member has no access rights to the Facility.
  • Injury at the Facility — special suspension right. Where a Member sustains an injury at the Facility that prevents them from exercising for a specified period, and that period is confirmed in a medical report submitted by the Member, the Member is entitled to suspend their membership for the period specified in the medical report. This injury-based suspension entitlement is separate from and additional to the tiered entitlement above and does not count toward the tiered cap.
  • Permanent incapacity following injury at the Facility. Where a medical report indicates that the Member is permanently unable to exercise as a result of an injury sustained at the Facility, the Member is entitled to terminate this Agreement and obtain a pro-rata refund of prepaid fees for the unused remaining Subscription Period, calculated in accordance with the pro-rata calculation methodology set out in this Section, with no deduction or early termination fee, within ten (10) business days of receipt of the qualifying medical report.
  • Pro-rata calculation methodology. Where this Agreement provides for a pro-rata refund, the refund shall be calculated as follows: Daily Rate (as defined in the Definitions section) multiplied by the number of remaining calendar days from the date of the qualifying event or termination request to the end of the Subscription Period. The Joining Fee is non-refundable and is excluded from the pro-rata calculation. Where the Member enrolled at a promotional or discounted rate, the refund shall be calculated on the basis of the amount actually paid by the Member, not the undiscounted rate. Free, promotional, or complimentary months or credits are excluded from the refund computation. Where a Member received a promotional benefit (including the founder 15% discount) conditioned on continuous renewal and terminates early, SportPlex may compute the refund by reference to the standard (undiscounted) rate for the period actually used. Consumer Protection Floor: in no event shall the net effect of any such calculation require the Member to pay more than the total contract price actually paid by the Member.

8. Termination

By Member:

  • Trial Period. SportPlex will provide a Trial Period of no less than forty-eight (48) hours from the membership Start Date, during which the Member may cancel their membership and obtain a full refund of all amounts paid. This right may be exercised once only, and only where SportPlex has not previously granted the Member a free one-day trial visit. Where a Member joins online through the SportPlex application or website, the forty-eight (48) hour Trial Period runs from the Start Date, or from the date of the Member’s first visit to the Facility (if that occurs within the forty-eight (48) hour period), whichever is the earlier. The Trial Period right cannot be exercised in respect of any session, class, or court booking already attended or used. To cancel during the Trial Period, the Member must notify SportPlex by any of the following channels: (a) through the SportPlex mobile application; (b) through the SportPlex website; (c) by email to [Home – SportPlex ) (d) by telephone to 920051221; or (e) in person at the Facility reception. The cancellation request must include the Member’s full name, membership ID number, and registered contact details. SportPlex shall process the refund within ten (10) business days of receipt of a valid cancellation request.
  • Where the Member submits a cancellation request within the Trial Period but SportPlex is unable to process it within the same period due to a technical failure attributable to SportPlex, the Member’s Trial Period cancellation right shall be preserved and the cancellation shall be treated as having been made within the Trial Period.
  • The Joining Fee (if applicable) is not refundable after the Member has attended the Facility for the first time, except where the Member cancels within the forty-eight (48) hour Trial Period before making any visit.
  • After expiry of the Minimum Term, the Member may terminate on fifteen (15) days’ written notice without early termination fee; any prepaid fees attributable to the period after the termination date shall be refunded pro-rata in accordance with Section 7.
  • Early termination during the Minimum Term: an early termination fee of SAR [Amount] or the total fees remaining for the unexpired portion of the Minimum Term (whichever is lower) shall apply. The early termination fee applies only during the Minimum Term; after expiry of the Minimum Term, the Member may terminate on fifteen (15) days’ written notice without incurring any early termination fee. The early termination fee is waived entirely where termination is supported by: (a) a medical report from a licensed hospital or clinic confirming the Member is unable to exercise for the remainder of the Minimum Term; (b) proof of permanent relocation to a location more than twenty-five (25) kilometres from the Facility; (c) evidence of redundancy or involuntary loss of employment; or (d) a medical report confirming permanent incapacity following injury at the Facility. Where the early termination fee is waived, the Member shall receive a pro-rata refund of prepaid fees for the unused remaining Subscription Period in accordance with the pro-rata calculation methodology set out in Section 7.
  • Regulatory entitlement. Without prejudice to the specific qualifying grounds in this Section, a Member retains the right to terminate this Agreement and obtain a refund of the amount due for the remaining prepaid Subscription Period where SportPlex breaches any of its essential obligations under this Agreement, pursuant to General Provision 9 of the Consumer Protection Document for Sports Centers & Gymnasiums. SportPlex may only terminate a Member’s membership in the cases of termination pre-specified in this Agreement.

Administrative Procedures:

  • All termination requests must be submitted in writing via the cancellation email or Member portal [Home – SportPlex
  • Verbal cancellations or simply stopping payment do not constitute a formal termination.
  • Any outstanding dues or arrears must be settled in full before a termination request is finalized.

By Facility:

  • Graduated Enforcement for Non-Safety Breaches. Where a Member commits a breach of this Agreement or the House Rules that does not involve violence, assault, harassment, or an immediate safety risk, SportPlex shall apply the following graduated enforcement sequence before termination: (a) first breach — verbal warning recorded on the Member’s profile; (b) second breach — formal written warning delivered by email or SMS to the Member’s registered contact details; (c) third breach — temporary suspension of the Member’s access to the Facility for a period of up to fourteen (14) days; (d) fourth breach or continued non-compliance — termination of this Agreement in accordance with this Section. Immediate termination without prior warning remains available for any breach involving violence, physical or verbal assault, sexual harassment, or any conduct that poses an immediate risk to the safety of any person at the Facility.
  • Immediate termination without refund if any of the following occurs:
    • Membership is misused by another person.
    • Harassment, misconduct, or disrespect occurs.
    • Verbal/physical assault on staff or members.
    • Unauthorized training, product sales, or promotions. Unauthorized training, product sales, or promotions (including, but not limited to, coaching by an external trainer).
    • Giving money, gifts, tips, or payments to SportPlex staff in violation of Section 3.
    • Use, possession, or distribution of prohibited substances on Facility premises.
    • Failure to pay any amount due under this Agreement for a period exceeding thirty (30) days after the due date.
    • Posting content on social media that is factually false and materially damaging to SportPlex’s reputation, where the Member has been notified of the factual inaccuracy in writing and has failed to correct or remove the content within seven (7) days of such notification.
  • Termination Without Cause by SportPlex. After the expiry of the Minimum Term, SportPlex may terminate this Agreement by giving the Member not less than thirty (30) days’ prior written notice, without being required to state a reason. In such case, SportPlex shall refund to the Member a pro-rata portion of any prepaid fees attributable to the remaining Subscription Period after the termination date, within ten (10) business days of the termination date.
  • Corporate and Sponsored Memberships. Where a membership is funded in whole or in part by a third party (including an employer or sponsor) (“Corporate Membership”): (a) the third-party funder may terminate the Corporate Membership by giving SportPlex not less than thirty (30) days’ written notice; (b) the named individual Member remains bound by all conduct, safety, and House Rules obligations under this Agreement for the duration of the Corporate Membership; (c) billing, payment, and refund flows are between SportPlex and the third-party funder, unless otherwise agreed in writing; and (d) upon termination by the funder, the named individual may elect to continue the membership at their own cost on terms specified by SportPlex at the time of conversion.
  • Termination Notice Procedure. Where SportPlex terminates this Agreement for any reason, SportPlex shall deliver written notice to the Member by email to the Member’s registered email address, or by SMS to the Member’s registered contact number, specifying the ground(s) for termination and the effective date. The Member shall have seven (7) days from receipt of the notice to submit a written response. Where termination is for cause, all outstanding fees for the remainder of the Minimum Term shall become immediately due and payable upon the effective date of termination.

9. Membership Transfer

  • Memberships are personal to the named Member and are non-transferable unless expressly approved in writing by SportPlex management. Any approved transfer is subject to: (a) payment of the applicable administrative transfer fee as set out in the Fee Schedule; (b) the proposed transferee satisfying all membership eligibility requirements; (c) the proposed transferee agreeing to be bound by this Agreement on the same terms; and (d) completion of the Membership Transfer Request Form (Schedule 5). No refund is issued to the transferring Member in respect of a transferred membership. The transfer takes effect on the date of SportPlex’s written approval.

10. Photography and Video

  • Photography and video recording of others without consent are prohibited.
  • SportPlex may use photos/videos for marketing unless the Member opts out in writing.
  • For the purposes of this Section, “promotional purposes” means use on the SportPlex website, social media accounts (including Instagram, X/Twitter, TikTok, YouTube, and LinkedIn), printed marketing materials, in-facility digital displays, and broadcast media. Photography and video recording are absolutely prohibited in locker rooms, wet areas, changing rooms, and any other area designated as a restricted zone by SportPlex. A Member who does not wish to appear in SportPlex’s promotional materials may opt out at any time by submitting a written request to info@sportplex.com or at the Facility reception. Upon receipt of an opt-out request, SportPlex shall cease using the Member’s image in new materials immediately and shall use reasonable efforts to remove the Member’s image from existing published materials within ninety (90) days, save that SportPlex shall not be required to recall printed materials already in circulation.
  • SportPlex Intellectual Property. All intellectual property rights in SportPlex’s branding, logos, interior design concepts, facility layouts, promotional materials, training programs, and proprietary content are and shall remain the exclusive property of SportPlex. Members shall not copy, reproduce, distribute, or disclose any such intellectual property to any third party, including competitors, without the prior written consent of SportPlex. Unauthorised use or disclosure of SportPlex’s intellectual property may result in termination of membership and legal action.
  • Special Note for Children: A signed parental waiver will be required before using a child’s photo/video for marketing.

11. Safety and Health

  • Members are strongly advised to consult with a physician before beginning any exercise program.
  • The Member represents that they are in good physical health and have no medical conditions that would prevent them from engaging in strenuous exercise.
  • Members must report any broken or malfunctioning equipment to staff immediately.
  • SportPlex is not responsible for any lost, stolen, or damaged personal property.

12. Liability and Health Declaration

  • Members must inform coaches/trainers of any health conditions before exercising.
  • Assumption of Risk. Members acknowledge and accept that participation in sports and physical activities at the Facility involves inherent risks of injury, including but not limited to: (a) gym and weightlifting activities — muscular strains, joint injuries, and injuries from dropped weights or equipment malfunction; (b) court sports — impact injuries, falls, and contact-related trauma; (c) group fitness classes — overexertion, muscular injuries, and injuries from shared equipment; (d) swimming and aquatic activities — drowning risk, slips on wet surfaces, and waterborne illness; (e) martial arts and combat sports — contact injuries, concussion, and musculoskeletal trauma; and (f) structured coach-led programs — increased physical demands, contact-related injuries, and sport-specific trauma. The Member voluntarily assumes all such risks and confirms that they have had the opportunity to seek independent medical advice before commencing any physical activity at the Facility. The Member acknowledges that coach-led structured programs and Personal Training sessions are more physically demanding than casual facility use.
  • Release and Waiver. To the fullest extent permitted by applicable Saudi law, the Member hereby releases, waives, and discharges SportPlex, its directors, officers, employees, agents, coaches, and contractors from any and all claims, demands, actions, and causes of action arising out of or in connection with the inherent risks of physical activity and sports participation described above, including claims for personal injury, illness, or property damage. This release does not apply to claims arising from the gross negligence or wilful misconduct of SportPlex, its employees, or its agents, nor does it limit any liability that cannot be excluded or limited under applicable Saudi law, including liability for death or personal injury caused by SportPlex’s gross negligence or wilful misconduct.
  • SportPlex is not liable for injuries or health complications unless caused by gross negligence.
  • Liability Cap. To the maximum extent permitted by applicable Saudi law, SportPlex’s aggregate liability to any Member under or in connection with this Agreement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total membership fees actually paid by that Member to SportPlex in the twelve (12) months immediately preceding the event giving rise to the claim. This cap does not apply to liability for: (a) death or personal injury caused by SportPlex’s gross negligence or wilful misconduct; or (b) property damage caused by SportPlex’s gross negligence or wilful misconduct.
  • Member Indemnification. The Member shall indemnify and hold harmless SportPlex, its officers, employees, agents, and contractors from and against all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the Member’s breach of this Agreement; (b) the Member’s negligent or wilful acts or omissions at the Facility; (c) any third-party claim arising from the Member’s conduct or the conduct of the Member’s Guest(s) at the Facility; or (d) any damage to the Facility or its equipment caused by the Member or the Member’s Guest(s). The Member’s indemnification obligation under this clause is limited to the extent that the relevant loss or damage is directly attributable to the Member’s or Guest’s act or omission and does not extend to any loss or damage caused or contributed to by SportPlex’s own negligence or breach of this Agreement. This indemnification obligation shall survive the termination or expiry of this Agreement.
  • SportPlex maintains public liability insurance in respect of the Facility. However, SportPlex’s insurance does not extend to cover Members’ personal losses, personal property, or personal accident or health costs. Members are strongly advised to obtain their own personal accident and health insurance prior to using the Facility. SportPlex does not provide accident or medical insurance for Members unless expressly stated in writing.
  • Emergency Treatment Consent. In the event that the Member is incapacitated or otherwise unable to provide informed consent during a medical emergency at the Facility, the Member hereby authorises SportPlex staff to arrange or facilitate emergency medical treatment, including contacting emergency services and providing first aid. The Member accepts financial responsibility for any emergency medical expenses incurred as a result of such treatment. This authorisation does not impose any obligation on SportPlex to provide medical treatment and does not create a duty of care beyond that which exists under applicable Saudi law.
  • By signing, the Member declares they are medically fit, do not suffer conditions that prevent exercise, and take full responsibility for monitoring their health during activities.

13. Force Majeure

  • Force Majeure and Uncontrollable Events:
  • SportPlex shall not be held liable for any interruption of service, delays, or temporary closures caused by events beyond its reasonable control.
  • This includes, but is not limited to government mandates, public health emergencies, power outages, natural disasters, or necessary emergency repairs.
  • Membership Protection & Extensions:
  • The Consumer Protection Document for Sports Centers & Gymnasiums expressly exempts Force Majeure closures from the Facility’s obligation to compensate Members for closed days. Accordingly, where a Force Majeure Event causes a temporary closure, SportPlex will extend Members’ Subscription Periods by a number of days equivalent to the closure duration, at no additional cost. This time-extension is the exclusive remedy for Force Majeure closures.
  • Extensions will be applied at the end of the current billing cycle or contract term at no additional cost to the Member.
  • Alternative Service Options:
  • Membership extensions will not apply if SportPlex provides a viable alternative, such as access to a sister facility, outdoor training options, or comprehensive digital/virtual services.
  • No Monetary Refunds:
  • Where a Force Majeure closure continues for more than three (3) consecutive months, and SportPlex is unable to provide a reasonably equivalent alternative arrangement, Members may terminate this Agreement and receive a pro-rata refund of any prepaid fees for the remaining Subscription Period after the termination date. This refund right for extended Force Majeure closures is a contractual right granted by SportPlex and is not mandated by the Consumer Protection Document, which exempts Force Majeure events from the compensation obligation entirely.
  • Facility and Service Changes. SportPlex may modify schedules, services, equipment, and facility layouts from time to time in the ordinary course of operations. SportPlex shall provide Members with reasonable advance notice of any material reduction in services. A material reduction means: (a) the permanent removal of a service category included in the Member’s membership tier; or (b) a reduction in operating hours exceeding five (5) hours per week. Where a material reduction affects the Member’s membership tier, the Member may elect to: (i) accept a corresponding reduction in membership fees for the remainder of the Subscription Period; (ii) suspend the membership without charge for the duration of the reduction; or (iii) terminate this Agreement without early termination fee and receive a pro-rata refund of prepaid fees for the unused remaining Subscription Period. SportPlex may restrict access to specific areas of the Facility for maintenance, repairs, events, or third-party permits, provided that such restrictions do not exceed twenty-five percent (25%) of operational time for any single area in any calendar month.
  • Non-Force Majeure Facility Closure. Where the Facility is closed or any area of the Facility is unavailable for reasons that do not constitute a Force Majeure Event, and such closure was not pre-specified in this Agreement or the Fee Schedule, SportPlex shall compensate Members by extending the Subscription Period by a number of days equivalent to the closure duration. If such non-Force Majeure closure exceeds one (1) calendar month, the Member may terminate this Agreement and receive a pro-rata refund of any prepaid fees for the remaining Subscription Period, within ten (10) business days of the termination notice. This obligation is mandatory under General Provision 6 of the Consumer Protection Document for Sports Centers & Gymnasiums and is distinct from the Force Majeure provisions above.
  • Communication Protocol:
  • SportPlex commits to notifying members of any service limitations or closures as soon as possible via email, SMS, and mobile application push notification.

14. Data Protection, Privacy and Consent

Mandatory and additional data categories. The mandatory personal information that must be collected for every Membership Contract is: (i) the Member’s full name and identity document number (Civil ID or Iqama); (ii) a contact number or email address; and (iii) the name and contact number of an emergency contact. Where SportPlex requests any personal information from a Member beyond these three mandatory categories, SportPlex must obtain the Member’s prior written consent before collecting that additional information. Such consent will be sought separately and will not be a precondition of providing the core membership service unless the additional data is strictly necessary for that service.

  • SportPlex may contact Members via SMS, email, or mobile application notification for operational communications necessary for the performance of this Agreement (including booking confirmations, suspension approvals, payment notifications, and facility closure notices). SportPlex will only send marketing communications (including promotional offers, new service announcements, and event invitations) where the Member has given prior express consent in accordance with the Marketing Communications provisions of this Section.
  • Personal information will remain confidential and not shared without consent, except where required by law. Without prejudice to the right of relevant government authorities to request the personal information of Members, SportPlex undertakes to maintain the confidentiality of Members’ personal information and shall not use it for any purposes other than those specified at the time of collection, nor provide it to any third party, without obtaining the Member’s prior written consent. SportPlex processes personal data in its capacity as data controller. The data controller is Sports Fields Company, Commercial Registration No. 4030358183, contactable at info@sportplex.com Full details of the categories of personal data collected, the legal bases for processing, retention periods, data subject rights, cross-border transfer safeguards, and data breach notification procedures are set out in the SportPlex Privacy Policy, a copy of which has been provided to the Member and is available at the Facility reception, on the SportPlex website, and through the SportPlex mobile application. In the event of any inconsistency between the Privacy Policy and this Agreement, the provision that affords greater protection to the Member’s personal data shall prevail.
  • Data Breach Notification. In the event of a personal data breach affecting Member personal data, SportPlex will notify affected Members and the Saudi Data and Artificial Intelligence Authority (SDAIA) within the timeframes and in the manner required by the Personal Data Protection Law and its Implementing Regulations.
  • Cross-Border Transfers. Where SportPlex transfers Member personal data outside the Kingdom of Saudi Arabia, SportPlex will ensure that such transfers are subject to adequate safeguards as required by the Personal Data Protection Law and its Implementing Regulations, including the use of approved contractual mechanisms or transfers to jurisdictions recognized by SDAIA as providing an adequate level of data protection.
  • Biometric Data Consent. SportPlex may collect the following biometric data for access control and identity verification purposes: fingerprint scans and/or facial photograph. Such biometric data constitutes sensitive personal data under the PDPL. SportPlex shall obtain the Member’s express, separately documented consent before collecting any biometric data. This consent is separate from the Member’s general consent to this Agreement and may be withdrawn at any time by submitting a written request to info@sportplex.com SportPlex shall process the withdrawal within ten (10) business days of receipt. Where a Member declines to provide biometric consent or withdraws consent, SportPlex shall provide an alternative, non-biometric method of access verification (membership card or QR code). Declining or withdrawing biometric consent does not affect the Member’s membership eligibility or access to any service at the Facility; it affects only the speed of entry verification.
  • Marketing Communications. The Member’s consent to receive marketing communications (including offers, promotions, and commercial messages) is optional and is not a condition of membership. Marketing communications will not be sent unless the Member has given prior express consent. The Member may opt out of marketing communications at any time by: (a) using the unsubscribe function in any marketing email or SMS; (b) adjusting notification preferences in the SportPlex mobile application; (c) submitting a written request to info@sportplex.com; or (d) submitting a written request at the Facility reception. SportPlex shall process the opt-out request and cease sending marketing communications within five (5) business days of receipt. Opting out of marketing communications does not affect the Member’s receipt of operational and transactional notifications (such as booking confirmations, payment reminders, and facility closure notices).
  • Minors’ Personal Data. Where the Member is under the age of eighteen (18), the parent or legal guardian who has signed this Agreement on behalf of the minor hereby consents to SportPlex’s collection and processing of the minor’s personal data (including any health data declared in the Health Declaration Form) strictly for the purposes of membership administration, safety, and communication, in accordance with the SportPlex Privacy Policy (Schedule 1) and the Personal Data Protection Law. The parent or legal guardian may withdraw such consent at any time by submitting a written request to the DPO at info@sportplex.com, in accordance with the PDPL. Upon withdrawal of consent, SportPlex shall cease processing the minor’s personal data except to the extent required by applicable law or necessary for the performance of any remaining contractual obligation.

15. Governing Law and Complaints

  • This Agreement shall be governed by the laws of the Kingdom of Saudi Arabia. Disputes shall be resolved by the courts of Jeddah or the Ministry of Sport’s designated body.
  • Internal Complaint Process. Before initiating any formal dispute, the Member may submit a complaint to SportPlex by email to info@sportplex.com, through the SportPlex mobile application, or in person at the Facility reception. SportPlex shall acknowledge receipt of the complaint within five (5) business days and shall notify the Member by SMS or push notification through the SportPlex mobile application when the complaint is logged. SportPlex shall provide a substantive written response within twenty-one (21) business days of acknowledgment. Upon resolution or closure of the complaint, SportPlex shall notify the Member by SMS or push notification that the complaint has been resolved or closed. If the Member is not satisfied with SportPlex’s response, or if SportPlex fails to respond within the stated timeframe, the Member may escalate the matter to mediation or to the competent authorities in accordance with applicable regulations.
  • Before commencing court proceedings, either party may refer the dispute to mediation administered by a mediation center licensed in the Kingdom of Saudi Arabia. The costs of mediation shall be borne equally by the parties unless otherwise agreed. If the dispute is not resolved within thirty (30) days of the appointment of the mediator (or such longer period as the parties may agree), either party may commence proceedings before the courts of Jeddah or the Ministry of Sport’s designated body.
  • Consumer Protection Compliance. SportPlex acknowledges and will comply with all rights of subscribers under applicable Saudi consumer protection legislation and the Consumer Protection Document for Sports Centers & Gymnasiums issued by the Ministry of Sport. SportPlex is obliged to display the Consumer Protection Document for Sports Centers & Gymnasiums in a prominent and clearly visible location at the entrance of each facility (both the Female Facility and the Male Facility) and on the SportPlex website. Members and prospective Members may request a copy of the Consumer Protection Document at any time from reception at either Facility. This Agreement does not constitute an Academy License and SportPlex does not represent that it operates as a licensed sports academy unless and until a separate Academy License is obtained.
  • Separate Privacy Policy. In addition to the data protection provisions set out in Section 14 of this Agreement, SportPlex shall maintain a separate, standalone Privacy Policy document that is accessible to Members and prospective Members prior to the collection of any personal data. The Privacy Policy shall be available at the Facility reception, on the SportPlex website, and through the SportPlex mobile application. In the event of any inconsistency between the Privacy Policy and this Agreement, the provision that affords greater protection to the Member’s personal data shall prevail.
  • Regulatory Updates. The Ministry of Sport reserves the right to conduct periodic reviews of the Consumer Protection Document for Sports Centers & Gymnasiums and to make any amendment or update by Ministerial decision. Where any such amendment imposes obligations on SportPlex that differ from or exceed those in this Agreement, the regulatory amendment shall automatically take precedence. SportPlex will notify Members of any material change arising from a Ministerial amendment.

16. General Provisions

  • If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent.
  • The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of that party’s right to enforce that provision or any other provision in the future.
  • Entire Agreement. This Agreement, together with the Schedules and any supplementary forms signed by the Member, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, warranties, and understandings, whether written or oral, relating to its subject matter.
  • Delivery of Agreement and Consumer Protection Document. SportPlex shall provide each Member, at or before enrollment, with a copy of this Agreement (including all Schedules) and a copy of the Consumer Protection Document for Sports Centers & Gymnasiums issued by the Ministry of Sport, in physical or electronic form. This obligation is in addition to, and is not satisfied solely by, the Member’s acknowledgment of receipt on the Member Enrollment and Signature Page.
  • Anti-Corruption. Neither party shall offer, give, solicit, or accept any bribe, kickback, or other improper payment or benefit in connection with this Agreement. Any breach of this provision shall constitute grounds for immediate termination.
  • No Third-Party Rights. To the extent permitted under applicable Saudi law, no person who is not a party to this Agreement has any right to enforce any of its terms.
  • Animals are not permitted on the Facility premises except registered assistance or guide animals accompanying a Member or Guest with a disability. Assistance animals must be under the handler’s control at all times and are subject to hygiene and safety conditions specified in the House Rules.
  • Any formal notice required or permitted under this Agreement shall be in writing and shall be delivered by email to the registered email address of the recipient, by SMS to the registered contact number, or by hand delivery at the Facility reception. A notice shall be deemed received: (a) if sent by email, on the date of transmission provided no delivery failure notification is received; (b) if sent by SMS, on the date of transmission; or (c) if delivered by hand, on the date of delivery.
  • Variation of Terms. SportPlex may amend the terms of this Agreement by giving the Member not less than thirty (30) days’ prior written notice. If the amendment constitutes a material change to the Member’s rights or obligations, the Member may terminate this Agreement by giving written notice within the thirty (30) day notice period, without incurring any early termination fee, and shall receive a pro-rata refund of any prepaid fees for the remaining Subscription Period.
  • Online Enrollment Disclosures. Where the Member completes enrollment online through the SportPlex website or mobile application, SportPlex shall, before the Member concludes the enrollment, make available to the Member these Terms and Conditions, the basic characteristics of the membership services, and the total price payable inclusive of VAT (as set out in the Fee Schedule), together with the applicable payment arrangements. Upon conclusion of the enrollment, SportPlex shall issue the Member an itemized tax invoice in accordance with its applicable VAT and e-invoicing obligations. SportPlex provides these pre-contract disclosures as a matter of good practice for online enrollment, independently of whether any particular consumer or e-commerce regulation applies to the membership.
  • Non-Transferability. Memberships are personal to the Member and are non-transferable except as provided in Section 9. Any purported transfer not made in accordance with Section 9 is void.
  • This Agreement is issued in Arabic and English. In the event of any conflict or inconsistency between the Arabic text and the English text, the Arabic text shall prevail.

SCHEDULES

The following Schedules form part of this Agreement and are incorporated by reference. Each Schedule appears once, in numerical order.

 

Schedule 1 — SportPlex Privacy Policy

Last updated: June 28, 2026. This Privacy Policy forms part of, and should be read together with, the SportPlex Membership Agreement (in particular Section 14). It explains how SportPlex collects, uses, shares, and protects personal data in accordance with the Personal Data Protection Law (Royal Decree No. M/19 of 1443H) and its Implementing Regulations (the “PDPL”).

1. Who We Are

SportPlex is operated by Sports Fields Company, Commercial Registration No. 4030358183, with its registered address at Building No. 7150, Ibn Al Qazaz Street, Abhur Al Janubiyah District, Jeddah 23731, Kingdom of Saudi Arabia (“SportPlex,” “we,” “us,” or “our”). SportPlex is the data controller responsible for your personal data. Our data protection contact is Head of IT Department , reachable at Info@sportplex.com

2. Scope

This Policy applies to Members, parents and guardians, Guests, emergency contacts, and visitors to the SportPlex website and mobile application whose personal data we process.

3. Personal Data We Collect

Where we ask for personal data beyond the mandatory identity, contact, and emergency-contact information required to provide the membership, we will obtain your separate written consent before collecting it.

4. How We Use Your Data

We process personal data to: administer your membership and bookings; verify identity and manage Facility access; ensure health and safety and respond to emergencies; process payments and issue tax invoices; operate CCTV for security; send operational notices; handle complaints; comply with legal and regulatory obligations; and, where you have consented, send marketing communications.

5. Sensitive Data (Health and Biometric)

Health data and biometric data are sensitive data under the PDPL and are processed only with your explicit consent or where otherwise permitted by law. Providing biometric data is optional; if you do not consent, we will provide an alternative access method at no disadvantage to you.

6. Marketing Communications

We send marketing communications only where you have given prior consent (for example, by ticking the marketing box on the Enrollment Form). You may withdraw consent at any time by emailing info@sportplex.com or using the unsubscribe mechanism in any message. Withdrawing marketing consent does not affect operational or transactional communications necessary for your membership.

7. Sharing and Disclosure

We share personal data with service providers that process data on our behalf (for example, [insert categories of processors — e.g., payment processor, cloud hosting, booking / CRM platform, biometric access provider]), each under a written agreement requiring PDPL-compliant safeguards. We may also disclose personal data to competent government authorities where required by law. We do not sell your personal data.

8. Cross-Border Transfers

Where any of our service providers are located outside the Kingdom of Saudi Arabia [insert: confirm which, if any], we transfer personal data outside the Kingdom only subject to the safeguards required by Article 29 of the PDPL and its Implementing Regulations, including ensuring an adequate level of protection not lower than that required under the PDPL and limiting the transfer to what is necessary.

10. Data Security

Subject to the PDPL, you have the right to: be informed of the legal basis and purpose of processing; access your personal data; request correction of inaccurate data; request destruction of data no longer needed; request a copy of your data in a readable format; and withdraw consent where processing is based on consent. 12. Complaints to SDAIA

If you believe your personal data has been handled in a manner that breaches the PDPL, you may submit a complaint to the Saudi Data and Artificial Intelligence Authority (SDAIA). Any such complaint must be submitted within ninety (90) days of the relevant incident or of the date you became aware of it.

13. Data Breach Notification

If a personal data breach occurs, we will notify SDAIA promptly upon becoming aware of it, and will notify affected individuals where the breach may cause harm to them or their data, in each case as required by the PDPL and its Implementing Regulations.

14. Children’s Data

Where a Member is under 18, we process the minor’s personal data on the basis of the consent and authorization of their parent or legal guardian, who may exercise the data subject rights above on the minor’s behalf.

15. Cookies and Similar Technologies

16. Changes to This Policy

We may update this Policy from time to time and will give Members not less than thirty (30) days’ prior notice of any material change, in accordance with the variation mechanism in Section 16.9 of the Agreement.

Schedule 2 — House Rules

These House Rules form part of the SportPlex Membership Agreement and are incorporated by reference (Section 3 and the Documents Incorporated clause). By signing the Enrollment Form, each Member agrees to comply with these House Rules. SportPlex may amend these House Rules from time to time on not less than fourteen (14) days’ notice, given through the SportPlex mobile application or by display at the Facility entrance. Where these House Rules conflict with the main body of the Agreement, the main body prevails. Breaches are dealt with under Section 8 (Termination), including the graduated-enforcement procedure for non-safety breaches and immediate termination for conduct posing a safety risk.

1. General Conduct

  • Treat all Members, Guests, and staff with respect and courtesy. Harassment, discrimination, threatening behavior, or disrespect of any person is not tolerated.
  • Follow the reasonable instructions of SportPlex staff at all times, including instructions given for safety, security, or operational reasons.
  • Use the Facility, equipment, and services only for their intended purpose and in a safe and considerate manner.

2. Access, Check-In, and Guests

  • Members must check in with their membership card or band on each visit. Membership is personal and may not be shared, lent, or transferred except as permitted under the Agreement.
  • Guests must be registered through the SportPlex mobile application before arrival, present valid photo identification at reception, and remain with the sponsoring Member at all times, in accordance with Section 4 (Guest Access).
  • SportPlex may conduct identity and membership verification checks and may refuse entry to, or remove, any person who cannot verify a current, valid membership.

3. Dress Code

  • Appropriate, clean athletic clothing and closed sports footwear must be worn in all training areas. Footwear designed for the relevant surface must be worn on courts.
  • Clothing must be modest and suitable for a family sports environment. Bare feet are not permitted outside designated wet areas.
  • Proper swimwear is required in the pool and wet areas. Street clothes, cotton t-shirts, and shorts are not permitted in the pool, jacuzzi, sauna, or steam room.

4. Gym Floor Etiquette

  • Wipe down equipment after use, return weights and equipment to their designated places, and do not drop or throw weights.
  • During peak periods, observe any posted time limits on cardio equipment and allow others to work in between sets where practical.
  • Report any damaged or malfunctioning equipment to staff and do not use equipment that is marked out of service.

5. Class, Court, and Facility Booking

  • Classes, courts, and certain facilities must be booked through the SportPlex mobile application. Arrive on time; latecomers may be refused entry to a class for safety reasons.
  • Cancel bookings you cannot attend within the cancellation window stated in the application. Repeated no-shows may result in temporary booking restrictions in accordance with the Agreement.

6. Locker and Changing Rooms

  • Lockers are for day use only; items left overnight may be removed in accordance with the locker provisions of the Agreement. SportPlex is not responsible for loss of or damage to personal items.
  • Use the changing rooms designated for your facility. Maintain privacy and hygiene, and keep noise to a minimum.

7. Pool and Wet Areas

  • Shower before entering the pool, jacuzzi, sauna, or steam room. Proper swimwear is required.
  • Persons with heart conditions, high or low blood pressure, or who are pregnant, and anyone unsure of their fitness to do so, should seek medical advice before using the sauna, steam room, or jacuzzi, and should limit their time in these areas.
  • Children must be supervised by a parent or guardian in the wet areas in accordance with Sections 3 and 5 of the Agreement and any posted age restrictions.

8. Photography and Privacy

  • Photography and video recording are strictly prohibited in all changing rooms, locker rooms, and wet areas.
  • Elsewhere in the Facility, do not photograph or record other Members, Guests, or staff without their consent. SportPlex may restrict photography to protect privacy and safety.

9. Hygiene and Health

  • Bring and use a clean towel during training. Do not attend the Facility if you have a contagious illness or infection.
  • Disclose any relevant medical condition on the Health Declaration Form and notify staff of any change that may affect your ability to exercise safely.

10. Prohibited Items and Conduct

  • Smoking and vaping are prohibited throughout the Facility. Alcohol, recreational drugs, steroids, and unauthorized supplements are strictly prohibited.
  • Weapons, glass containers, and any item that poses a safety risk are not permitted. Outside food may be restricted in certain areas.
  • Selling, promoting, or canvassing goods or services within the Facility without SportPlex’s prior written approval is prohibited.

11. Children and Minors

  • Children and minors must be supervised in accordance with Section 5 of the Agreement and may only use the areas and equipment appropriate to their age, as determined by SportPlex.
  • Minors under the age of 16 are not permitted to use the gym floor, weightlifting areas, adult spas, or adult locker rooms. Members aged 16 to 17 may access specified adult facilities only on the conditions set out in Section 3.

12. Personal Training and Coaching

  • Only SportPlex-approved trainers and coaches may deliver personal training or structured coaching at the Facility. Members may not receive or provide unauthorized personal training or coaching services on the premises.

13. Personal Belongings and Property

  • Keep personal belongings secured in a locker. SportPlex is not liable for the loss of, or damage to, personal property except to the extent required by applicable law.
  • You are responsible for any damage you, or your Guest, cause to the Facility or its equipment.

14. Noise, Phones, and Considerate Use

  • Keep noise to a reasonable level. Take phone calls in designated areas and avoid disrupting classes or other Members.

15. Enforcement and Amendment

  • Breaches of these House Rules are addressed under Section 8 of the Agreement. Conduct involving violence, assault, harassment, or an immediate safety risk may result in immediate removal and termination without refund.
  • SportPlex may add to or amend these House Rules from time to time on notice, and may issue area-specific rules (for example, court or pool rules) by posting them at the relevant area.

 

Schedule 3 — Health Declaration Form

I, the undersigned Member, declare and confirm the following in connection with my membership at SportPlex:

  • I am in good physical health and am medically fit to participate in physical exercise and sports activities at the Facility.
  • I do not currently suffer from any of the following conditions that have not been disclosed to SportPlex: (a) heart disease or cardiovascular conditions; (b) respiratory conditions (including asthma); (c) diabetes; (d) epilepsy or seizure disorders; (e) musculoskeletal injuries or chronic joint conditions; (f) pregnancy; (g) any condition requiring regular medication that may affect physical performance; or (h) any other condition that may be aggravated by physical exercise.
  • If I suffer from any of the conditions listed above, I have disclosed the details in writing to SportPlex and have obtained medical clearance from a licensed physician confirming my fitness to participate.
  • I undertake to notify SportPlex immediately of any change in my health status that may affect my ability to exercise safely.
  • I confirm that I have had the opportunity to seek independent medical advice before commencing any physical activity at the Facility.

Schedule 4 — Parental Consent and Authorisation Form

Parental Consent and Waiver of Liability

I, the undersigned parent/guardian, authorize my child to participate in activities and programs at SportPlex, and I acknowledge and agree to the following:

  1. Health & Fitness

I confirm my child is medically fit to participate. I understand that it is my responsibility to disclose any medical conditions.

  1. Assumption of Risk & Liability

I acknowledge sports involve inherent risks. I release SportPlex, its staff, and representatives from liability for injuries or health issues, except in cases of gross negligence.

  1. House Rules

My child must follow all SportPlex rules, including the House Rules, and comply with requirements of respect, proper behavior, and safety. Children must wear the official SportPlex kit/uniform provided or advised by SportPlex. Misconduct, bullying, or unsafe behavior may result in removal from programs without a refund.

  1. Emergency Medical Treatment

In case of emergency, I authorize SportPlex to provide or arrange medical treatment if I cannot be reached. I accept financial responsibility for any medical expenses incurred.

  1. Data Privacy

I understand SportPlex collects and uses personal data only for membership, safety, and communication purposes. Data will not be shared externally except where required by law.

  1. Photography / Media Consent (Optional)

A valid ID copy and nanny fees must be submitted and paid in advance. Nannies are not permitted to use the facility or training areas. Nannies must wait only in the designated nanny waiting area.

  1. Emergency Contact

I agree to provide SportPlex with at least two (2) valid emergency contact numbers (in addition to my own). I authorize SportPlex to contact these persons if I am unreachable in case of emergency. I must specify in writing who is authorized to collect my child. SportPlex will not release a child to anyone not listed. I understand that late pick-ups may incur additional fees as per SportPlex policy.

I understand SportPlex does not provide accident or medical insurance unless otherwise stated. I accept responsibility for arranging personal insurance if required. I acknowledge that minor injuries (such as sprains, bruises, or muscle strains) are part of normal sports participation and are my responsibility.
